Terms of Service

1. Introduction and acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Pursuit AI Lab (Pty) Ltd, a company incorporated under the laws of South Africa ("Pursuit AI Lab", "we", "us", or "our"). They govern your access to and use of the Pursuit AI Lab platform, applications, APIs, and related services (collectively, the "Services").

By registering for an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

2. Definitions

In these Terms, the following words bear the following meanings unless the context requires otherwise:

• "Account" means the user account you create to access the Services.
• "Content" means any text, data, code, prompts, outputs, files, or other material you submit to or generate through the Services.
• "Intellectual Property" means all patents, trademarks, copyrights, trade secrets, database rights, and any other intellectual property rights, whether registered or unregistered.
• "Personal Data" has the meaning ascribed to it under the Protection of Personal Information Act, 2013 (POPIA).
• "Subscription" means the recurring licence plan you purchase to access the Services.
• "Third-Party Services" means products, services, or platforms provided by entities other than Pursuit AI Lab that may be integrated with or accessible through the Services.

3. Description of service

Pursuit AI Lab provides an AI-powered learning and productivity platform designed to help individuals and organisations develop skills in using artificial intelligence tools effectively in professional contexts. The Services include but are not limited to structured programmes, AI-assisted workflows, research tools, content generation features, and community features.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice to you where practicable. We will not be liable to you for any such modification, suspension, or discontinuation.

4. Account registration and security

To access most features of the Services, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.

You must notify us immediately at hello@pursuitlab.ai if you become aware of any unauthorised use of your Account or any other security breach. We will not be liable for any loss or damage arising from your failure to maintain account security. Accounts may not be shared, transferred, or used by more than one person without our written consent.

5. Acceptable use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to generate, distribute, or store illegal, harmful, deceptive, abusive, defamatory, or obscene content.
• Attempt to circumvent, disable, or interfere with any security features of the Services.
• Use automated means (bots, scrapers, or crawlers) to access the Services without our prior written permission.
• Reverse-engineer, decompile, or attempt to extract the source code of any software underlying the Services.
• Use the Services to infringe any third party's Intellectual Property rights.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Introduce viruses, malware, or other harmful code into the Services.
• Use the Services in any manner that could overburden or impair the infrastructure supporting the Services.

We reserve the right to suspend or terminate access for any conduct we deem to violate these Terms or to be harmful to other users or third parties.

7. Intellectual property

Pursuit AI Lab IP. The Services, including all software, designs, text, graphics, logos, and other materials provided by Pursuit AI Lab, are owned by or licensed to Pursuit AI Lab and are protected by applicable Intellectual Property laws. These Terms do not grant you any rights to Pursuit AI Lab's Intellectual Property except the limited licence to use the Services as described herein.

Your content. You retain ownership of Content you submit to the Services. By submitting Content, you grant Pursuit AI Lab a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, modify, and display that Content solely to the extent necessary to provide and improve the Services. You represent and warrant that you have all rights required to grant this licence.

8. Confidentiality

Each party agrees to hold the other party's confidential information in strict confidence and not to disclose it to any third party without prior written consent, except as required by law. "Confidential information" includes business plans, technical data, pricing, customer information, and any information marked as confidential or that a reasonable person would regard as confidential given the circumstances of disclosure.

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is independently developed without reference to the confidential information.

Both parties agree to comply with all applicable data protection laws, including POPIA, in connection with personal data processed under or in connection with these Terms. The collection and use of your personal data is governed by our Privacy Policy, available at pursuit.so/legal/privacy-policy. Where you are an organisation and submit personal data relating to your employees or customers, a Data Processing Addendum may govern our processing obligations.

11. Third-party services

The Services may integrate with or provide access to Third-Party Services such as AI model providers, payment processors, and hosting platforms. Your use of Third-Party Services is subject to their respective terms and privacy policies. Pursuit AI Lab does not endorse and is not responsible for the conduct or content of any Third-Party Services. We will not be liable for any loss or damage arising from your reliance on Third-Party Services.

12. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. AI-generated content may be inaccurate, incomplete, or unsuitable for your purposes; you are responsible for evaluating and verifying any AI outputs before relying on them.

13. Limitation of liability

To the maximum extent permitted by applicable law, Pursuit AI Lab and its directors, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising out of or in connection with these Terms or your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising out of or relating to these Terms will not exceed the total fees paid by you to Pursuit AI Lab in the twelve (12) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Pursuit AI Lab and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services in violation of these Terms; (b) your Content; (c) your violation of any third-party rights; or (d) your violation of any applicable law or regulation.

15. Term and termination

These Terms remain in force for as long as you maintain an Account or use the Services. Either party may terminate the agreement by providing written notice to the other. We may terminate or suspend your access immediately, without notice, if you breach any provision of these Terms or if required by law.

You may cancel your subscription at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of the current billing period.

16. Effect of termination

Upon termination of these Terms for any reason: (a) all licences granted to you will immediately cease; (b) you must cease all use of the Services; and (c) you may export your Content within 30 days of termination, after which we may delete it in accordance with our data retention policy. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, and limitation of liability — will survive.

17. Dispute resolution

In the event of a dispute arising from or in connection with these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 business days, the parties agree to refer the matter to mediation in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA) before commencing litigation. Nothing in this clause prevents either party from seeking urgent relief in a court of competent jurisdiction.

18. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Subject to the dispute resolution clause above, both parties submit to the exclusive jurisdiction of the courts of South Africa.

19. Changes to terms

We may modify these Terms at any time. Where changes are material, we will provide at least 14 days' notice by email or by posting a prominent notice within the platform. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services and cancel your subscription before the effective date.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or sale of assets, without your consent, provided the assignee assumes all obligations under these Terms.

21. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity or enforceability of the remaining provisions, which will remain in full force and effect.

22. Entire agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and Pursuit AI Lab with respect to the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings between the parties.

23. No waiver

No failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right. A waiver of any breach of these Terms will not constitute a waiver of any subsequent breach. Any waiver must be in writing and signed by an authorised representative of the waiving party.
